Online terms and conditions for our branding service

KVM Design Ltd., a limited company with company number 10652690 and with its registered office at 33 Queen St Pl EC4R 1AP London.

I am so pleased you have decided to use our branding service - please read the following document before we start working together.

The contract below sets out the legal terms that will govern the relationship with you and apply to the services provided.  The intention is that it will bring clarity to our relationship and protect both of us so please do let us know if there are any clauses that you do not understand or that contradict your understanding of our services.

In this contract:

  • ‘I’, ‘me’ or ‘my’ means KVM Design Ltd. ; and

  • ‘You’ or ‘your’ means the person buying or using my services and resources.

This contract sets out:

  • your legal rights and responsibilities

  • my legal rights and responsibilities, and

  • certain key information required by law.

Description

The document below outlines the terms and conditions for the process and timeline for KVM Branding service. The Premium Branding Experience includes our 1:1 setups for your brand identity. Refer to our service page for details.

Payment Method

You will purchase any of these services using the relevant buttons on our website (https://kvminteriordesign.com), via the buttons on our investment guide (download on website) or directly via an invoice sent out to your email.

Timetable for payments (where relevant)

Payments are to be made before the work starts either in full or in instalments as per the invoice.

  1. Services carried out

By purchasing the branding package, the client will receive the following:

  • A brand audit: our expert will review the existing brand identity and website (if any) and provide comments and recommendations based on the client’s service type and ideal client on how best to incorporate the new brand identity into the existing website (if not purchased together as a package) for consistency. The client will either be provided a one-page max document for the brand audit outlining the expert’s recommendations or these can be provided in a written or verbal conversation with the client. In the case of a verbal conversation, a recording of the conversation will be uploaded for the client.

  • Main logo design and variations: the client will receive the design for a main logo and variation(s) that will be determined by the expert. These will be delivered in Raw Illustrator files for the clients in case you have an in-house designer and in PNG format as part of a branding kit shared on our Google Drive; the client must download all the files upon receiving the full kit.

  • Color palette selection: to be decided by the expert based on the brand worked on.

  • Typography: the fonts to be used as part of your brand identity. Some of the chosen fonts may be purchased; in this case, the expert will let you know and provide the link to purchase. If you would like only free fonts, let the expert know.

  • Email signature: your signature is to be used for email purposes. 

  • Brand graphic elements and shapes:created by the expert to enhance your brand.

  • Social media templates: you will receive a minimum of 6 suggested social media templates, these include 3 1080px x 1350 px images and 3 1080px x 1920 px images. Extra Templates have a cost of USD $50 per piece regardless of the sizing (This applies to digital design)

  • Photography Direction: Photography curation is included in the package, the designer will curate and deliver a minimum of 10 copyright-free images that suit the brand. Photo editing has an extra cost of USD $50 per image (Photo editing refers to colorization and grading)

  • Animations: Logo animations are available but not included, animated logos have a price of USD $120  per animation.

  • Videography: Videography curation is included in the package (with a maximum of 10 Copyright-free videos), however, video editing and montage have an extra cost of USD $10 per minute.

  • Revisions: We provide up to five rounds of revisions as part of our standard package.

    Our commitment to delivering a high-quality branding service includes accommodating feedback and adjustments to meet your expectations. It's important to note that a full redesign, which involves a significant departure from the initially agreed-upon concept, is not classified as a revision.

  • Client's Role in Providing Direction:

To facilitate a smooth and efficient design process, we request that clients share their brand examples and specific directions either before or during the kick-off meeting. Clear communication of your preferences, inspirations, and any specific elements you have in mind will contribute to a more targeted initial design, reducing the likelihood of extensive revisions later in the process.

  • Ensuring Mutual Understanding:

By sharing brand examples and direction, both parties can ensure a mutual understanding of the desired aesthetic and brand identity. This collaborative approach aims to align our creative efforts with your vision from the outset, minimizing the need for extensive revisions and fostering a more efficient design journey.

  • Additional Revisions:

Should you require revisions beyond the initial five rounds, they can be accommodated, but they may be subject to additional charges. We will always communicate any potential extra costs before proceeding with further revisions to maintain transparency in our working relationship.

  • Transparent and Collaborative Process:

Our goal is to create a transparent and collaborative design process that values both the client's vision and the expertise of our designers. By working together closely and setting clear expectations, we aim to deliver a final branding solution that exceeds your expectations while respecting the time and effort invested by our design team.

  • Kit implementation into Canva: our expert will add the logos, colors, and fonts to your Canva account so they are ready to be used.



2. Process

The branding process looks like this:

  1. Branding package purchased (Client) via the website, investment guide or a direct invoice sent to your email.

  2. Review your welcome packet with next steps and timeline details (Client)

  3. Submit the Onboarding Questionnaire (Client)

    a. This questionnaire needs to be submitted at least 24 hours before the kick-off call
    b. Include as many references, preferences and details to ensure a smooth process

  4. Kick-off call with our expert (30 minutes - Zoom or Google Meet)

    a. On this call, we will primarily discuss the branding questionnaire responses and provide any clarifying questions/comments necessary

    b. At the end of this call, we will discuss project expectations, which include:

    - Communication will be through the ClickUp dashboard and/or video calls only

    - Communication will be between KVM (us) and the client; no third party, unless otherwise explicitly mentioned and agreed upon

    - Any third-party input, communication, comments, etc., that does not fall into the category/point above does not have to be addressed, included, honored, etc. It is up to the discretion of KVM to incorporate said information.


5. Our expert works on the brand's first proposal (KVM - 5 business days)

a. This includes the main logo, typeface, and color palette.


6. Submit Round 1 (KVM)

a. This will be submitted within 1 week* of the Kick-off Call

i. *This assumes no unforeseen interruptions in the project schedule…if there are, they will be expressed directly to the Client within 5 business days.


7. Submit Comments (Client)

a. To maintain the momentum of the design process, we kindly request that you provide feedback within a maximum of three business days of receiving design updates. This timeframe allows our designers to efficiently incorporate your input and ensures a steady progression in the project.

i. *This assumes no unforeseen interruptions in the project schedule…if there are, they will be communicated to KVM within 3 business days

b. This will be submitted with comments added directly to the PDF 

c. All comments will need to fall into the categories below:

i. Approved; no change (use green highlight tool)

ii. Needs change per comment(s) (use red highlight tool)

iii. Needs change; pending comment(s)/decision(s) (use yellow highlight tool)

d. If necessary, the Client will ask to schedule, or schedule, an additional video call at this time to discuss the comments


8. Feedback Meetings (3 Maximum):

a. As part of our collaborative process, we offer up to three feedback meetings (video calls) to discuss the design progress and address any questions or concerns you may have. These meetings provide an opportunity for real-time communication, allowing us to ensure your vision aligns seamlessly with the evolving design concepts.

b. Feedback Meetings have a duration of 30 minutes.

c. Extra Meetings will be charged at our normal rate of USD $68 per hour

d. Live Design Meetings (2 hours) are available at a rate of USD $100 per hour


9. Submit Rounds 2 (up to 5 if required) (KVM - weeks 2 and 3)

a. The expert will work on each round of revisions as per the client's comments

b. The revisions and feedback should fall within weeks 2 and 3. The client has 3 business days to provide feedback after each round to keep up with the timeline
i. *This assumes no unforeseen interruptions in the project schedule…if there are, they will be expressed directly to the Client/ KVM within 3 business days

c. KVM agrees to provide revisions and comments within 5 business days after receiving feedback
d. Comments should be added directly to the PDF or during the feedback meetings
e. The client can request a maximum of 3 calls to review comments after the kick-off call. Additional calls will be charged hourly at the rate of USD $68 per hour.
f. Any additional round of revisions will be charged hourly at the rate of USD $68 per hour.


10. Finalize and Approve the branding (Client)

a. The branding package is structured to be completed within a four week period with a two-week grace period. 
b. This is based on
- 7 business days for KVM to prepare the initial branding proposal to the client following the kick-off meeting
- 5 rounds of revisions, with 3 business days for KVM to provide updates, and 3 business days for the client to respond (total of 15 business days)

This structure has been intentionally put in place to ensure continuity in the branding process and ensure a timely delivery for the client.

In the event of potential delays from either party, this needs to be communicated within the 3 business days and an alternative schedule agreed.

Delays will only be accepted in unforeseen circumstances. In the event that there is an unavoidable delay each party has the right to pause and restart the process at a later date provided that once the process begins again it may not be delayed without penalties.

For each week that the process is delayed due to revisions or feedback not provided according to the schedule outlined in this agreement, there will be an additional fee or discount provided of $150.


11. Brand Kit prepared and implemented (KVM - week 4)

a. Once the branding is approved, the expert will prepare the final package with all the files and resources to submit to the client

b. The logos, colors, and fonts will be uploaded to the client’s Canva account, only if the client provides a Canva team invite by the end of week 3.


12. Timeline

a. Review the timeline in your branding welcome packet

Anything requested outside of this process, including but not limited to additional video calls, additional formal revisions, etc., will be considered a project amendment and will potentially incur additional fees beyond the original agreement, as to be determined by KVM.
