Online terms and conditions for our delegating service

KVM Design Ltd., a limited company with company number 10652690 and with its registered office at 33 Queen St Pl EC4R 1AP London.

I am so pleased you have decided to use our services or resources - please read the following document before we start working together.

The contract below sets out the legal terms that will govern the relationship with you and apply to the services provided.  The intention is that it will bring clarity to our relationship and protect both of us so please do let us know if there are any clauses that you do not understand or that contradict your understanding of our services.

In this contract:

  • ‘I’, ‘me’ or ‘my’ means KVM Design Ltd. ; and

  • ‘You’ or ‘your’ means the person buying or using my services and resources.

This contract sets out:

  • your legal rights and responsibilities

  • my legal rights and responsibilities, and

  • certain key information required by law.

Description

KVM provides outsourcing services to interior designers on a continuous basis. This means that you can delegate your design, procurement and technical work to our team when you need it.  After the initial 10-hour retainer (used towards your projects), you can delegate as many hours as needed, at the frequency you choose to. This service is highly flexible and gives you access to a team of experts who can support you when you need it.

  1. Getting started

    1. A 10-hour retainer must be paid before the ClickUp dashboard is set up for you and before you start delegating any work to us. The 10-hour retainer will be purchased by following the link on our website (https://kvminteriordesign.com) , via the buttons on our investment guide (download on our website) or directly via an invoice sent out to your email. These hours, like any hours purchased in advance, expire after 6 months from the date of purchase.

    2. Once the retainer is paid and you have access to your ClickUp dashboard, in order to request work to be completed, you will need to upload a brief to your ClickUp dashboard (as per the instructional video shared with you). In the case of technical work, sourcing or a render, an estimate will be provided to you within one business day (24 hours unless it falls during the weekend). Once you provide written confirmation that you would like to proceed, billed hours will commence to accrue. You can follow your accrued hours on your dashboard.

    3. During the onboarding, we will send you a questionnaire to fill out where you will be able to upload templates and examples of work you would like our team to follow for issuing drawings to you. If you fail to upload templates, we will use our own template.

    4. When you sign up to use our services (by paying the retainer), a Google Drive folder will be created for you. You may use it to upload all the attachments for your projects so everything is organized and easy to find. 


2. Services carried out

    1. You can add a due date with your brief. If the due date is unreasonable or we cannot complete the work for the requested date, we will provide a new suggested delivery date for the work. You can decide to proceed or not.

    2. If edits are requested following the first issue by our team, we will provide a new estimate to work on the changes within one to two business days. If KVM misunderstood the initial brief, and it is clear that a mistake was carried out on our side, we will make the changes at no cost to you.  

    3. The project will be labelled as done once we have written confirmation that there is no more work to be carried out. You may reopen the project at any time by changing the status on your dashboard.

    4. Every time you need to add attachments or additional information such as due date or more information within the project description, a new comment must be written on the same project card to inform of the information added and  “tagging” the operations manager assigned to you (by using the @ and her/ his name); failure to do so could result in information being missed and potential delays or the issue of the work requested.

    5. At any time, you can request for the team to stop working on the project. We will only charge you for the work that was already carried out and not for the remainder of the estimate that was not worked on. 

    6. We keep the projects in your dashboard/ google drive giving you access to past projects as needed. We recommend that you download the files/ save to your own google drive folder for your own record. If you have been inactive for 6 months or more, we reserve the right to remove access from your dashboard and google drive folder until you want to resume work with our team.


3. Communication

    1. We will communicate about your projects only via the ClickUp dashboard. If you have questions or need to add additional information, you need to inform us on the said dashboard by writing a comment in the relevant section and “tagging” the person who has been communicating with you. Failure to do so could result in our team not getting notified and important information being missed.

4. Payments

    1. KVM provides free resources on how to delegate efficiently and effectively. We want you to have the best results and we appreciate you carefully reading these materials before you start delegating. In the event that you fail to share your process for taking on projects/ how you want work to be issued to you, you cannot request a refund for work completed or request free work to be carried out as a result.

    2. We do not provide refunds for work already completed under any circumstances.

    3. We will charge you hourly at a rate of USD $78 per hour, unless agreed otherwise between KVM and the client. A discounted rate may be agreed for large projects (above 20 hours) and is at the discretion of KVM. 

    4. You will pay the initial retainer via our website (https://kvminteriordesign.com) , our investment guide or by direct invoice sent on the email provided to us. Hours purchased in advance expire after 6 months from the date of purchase, no exception.

    5. You will receive the following invoices via the email provided at sign up. Each email has a button with a link to pay your invoice; the payment platform used is Stripe and payments must be made using a debit/ credit card.

    6. KVM aims to help you manage your expenses. To this end, you always have oversight over accrued hours and we will bill you either once the project is complete (for small projects that have a fast turnaround), every 5-10 hours and/ or before the end of a calendar month to avoid any surprises.

    7. For larger projects, KVM reserves the right to request a retainer before commencing the work. For example, we may request a retainer equaling the total of 15 hours of work (at an hourly rate of USD $78 / hour) for a project estimated to take 30 hours.

    8. We’re always available to discuss your projects. You may request a call at any time on your dashboard and it will be accrued at our hourly rate ($78 per hour).

    9. For large-scale projects (1700 s/ft or 160 s/m and require support from the planning or design concept phase), the first call with our project manager is to estimate the scope and how to incorporate our fees into your services. This call (30min to 90 min) is charged at our hourly rate of USD $78; note that the price of this initial call will be discounted from your balance if you delegate the project to us.


5. Timetable for payments

    1. You have a total of 7 calendar days to pay the invoice after the invoice is sent out to your email.

    2. A total of 2 reminders will be sent out (one after 3 days and one after 5 days)

    3. If the invoice has not been paid after 7 calendar days following the invoice being sent out, we reserve the right to charge an additional USD $156 (equivalent to two hours at the hourly rate of USD $78) for every week that the invoice is not paid. The amounts will be added to your invoice and payable in full immediately.


6. Marketing Purposes

    1. Both parties give consent to the mutual use of the deliverables for marketing purposes.

    2. KVM requests to be tagged in any use of material produced by us.

    3. KVM will only “tag” you/ give you credit upon request for privacy and data sharing purposes.
